3. Eligibility

To use our Services, you must:

• Mid-Cycle Cancellation: If you cancel mid-cycle, you retain access until the end of the current billing period. No partial refunds are issued

• The KaliForge and CipherHub platforms, including all AI models and algorithms
• Our website design, graphics, and user interface elements
• All documentation, guides, and training materials
• The CIPHRR, Cipher PRO, KaliForge, and CipherHub names and logos

You may not copy, modify, distribute, or create derivative works based on our intellectual property without prior written consent.

7.2 Your Content

You retain ownership of any data, configurations, or content you upload or create using our Services. By using our Services, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Services.

8. Confidentiality

During the course of using our Services, both parties may be exposed to confidential information. Each party agrees to:

• Treat all confidential information with the same degree of care as their own confidential information
• Not disclose confidential information to third parties without written consent
• Use confidential information solely for the purposes contemplated by these Terms
• Promptly notify the other party of any unauthorized disclosure

This obligation survives the termination of these Terms for a period of 3 years.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY and FITNESS FOR A PARTICULAR PURPOSE
• Accuracy, completeness, or reliability of scan results or vulnerability assessments
• Uninterrupted or error-free operation of our Services
• Compatibility with your specific systems or requirements

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIPHER PRO LLC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from unauthorized access to or alteration of your data
• Damages resulting from your reliance on scan results or security assessments

Our total aggregate liability shall not exceed the amount you paid for the Services during the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cipher PRO LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our Services
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any unauthorized security testing conducted using our tools

11. Termination

Either party may terminate this agreement:

• By You: Cancel your subscription at any time through your account settings or by contacting us
• By Us: We may suspend or terminate your access immediately if you violate these Terms, without prior notice
• Automatic: Your access terminates at the end of your billing period if you cancel

Upon termination:

• Your right to access the Services immediately ceases
• We will retain your data for 30 days, after which it will be permanently deleted
• You may request an export of your data before the 30-day retention period expires
• Sections 7, 8, 9, 10, and 13 survive termination

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our Services shall be resolved through:

1. Informal Resolution: The parties will first attempt to resolve the dispute informally by contacting each other in writing
2. Mediation: If informal resolution fails within 30 days, the parties agree to participate in non-binding mediation
3. Arbitration: If mediation fails, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cipher PRO LLC
• Severability: If any provision is found unenforceable, the remaining provisions shall remain in full force and effect
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction
• Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures
• Notices: All notices must be sent to info@ciphrr.com and will be deemed received upon delivery

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through:

• A prominent notice on our website
• Email notification to registered users
• Updated "Last Updated" date at the top of this page

Your continued use of our Services after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our Services and cancel your subscription.
